Platform Terms of Use
Capitalized terms not defined here have the meaning given in Section Definitions or, where applicable, the executed Master Services Agreement.
These Platform Terms of Use describe the rules and expectations that apply to End Users of Section Coach and SectionHQ. They are published by Section, Inc. ("Section", "we", "us", "our") as a reference document.
1. Purpose and relationship to your employer
Your access to the Services exists because your employer or institution (the "Customer") has entered into a Master Services Agreement ("MSA") with Section. The MSA is the binding contractual instrument between Section and Customer and is the source of Customer's right to provide you access to the Services. These Platform Terms of Use describe the rules, expectations, and limitations that apply when you use the Services. Your employer may also impose its own policies on your use of the Services, which apply in addition to the rules described here.
2. Account responsibility
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Do not share your credentials. Notify your employer's administrator and Section at legal@sectionai.com promptly if you suspect that your credentials have been compromised.
3. Authorized use
You may use the Services for the purposes for which Customer has authorized your access, including coaching, certification, use case discovery, analytics, and related functionality. You may not exceed the scope of access granted to you, and you may not access the Services on behalf of any person or entity that has not authorized you.
4. Restrictions
Your use of the Services is governed by the Acceptable Use Policy, which is incorporated into these Platform Terms of Use by reference. Without limiting the AUP, you may not reverse engineer the Services, scrape Outputs at scale, or use Outputs to train a competing artificial-intelligence product or service.
5. AI Outputs
The Services include AI Features that generate Outputs in response to your Inputs. Outputs are probabilistic. They may contain errors, omissions, or fabrications notwithstanding Section's controls. Outputs are presented as recommendations for your review and are not a substitute for professional judgment. You must not rely on an Output as the sole basis for a decision concerning employment, compensation, discipline, termination, eligibility, legal status, medical care, financial credit, insurance, housing, or another consequential matter. The full AI-specific terms are set out in the AI Addendum, which is between Section and Customer; your responsibilities mirror its requirements.
6. Intellectual property
Section and its licensors retain all right, title, and interest in and to the Services, the AI Features, the System Prompts, all underlying software and content, and Section's trademarks. As between Section and Customer, ownership of Outputs is governed by the AI Addendum and the MSA. You receive no license to any of the foregoing other than the limited right to access and use the Services in accordance with these Platform Terms of Use.
7. Feedback
If you voluntarily submit feedback, suggestions, ideas, or other comments about the Services ("Feedback"), Section may use Feedback without restriction to operate and improve the Services. Feedback is not confidential information.
8. Privacy
Section's processing of your personal information in connection with the Services is described in the Platform Privacy Notice. For data subject requests (access, correction, deletion, restriction, portability), please contact your employer's administrator first. Section will assist your employer in responding to those requests as described in the Data Processing Addendum.
9. Suspension
Section may suspend or terminate your access to the Services if you violate these Platform Terms of Use or the AUP, if your employer directs us to do so, if the MSA between Section and your employer ends, or if your continued access creates a security risk. Where practical, we will provide notice before suspending or terminating your access.
10. Export Controls and Sanctions
The Services are subject to U.S. export controls and sanctions laws and regulations ("US Export Laws"), including the Export Administration Regulations administered by the U.S. Department of Commerce Bureau of Industry and Security ("BIS") and the sanctions regulations administered by the U.S. Department of the Treasury Office of Foreign Assets Control ("OFAC"). The following limits apply to all End Users:
- End Users may not access or use the Services if they are designated on, owned or controlled by a person designated on, or otherwise restricted under (a) the BIS Entity List, (b) the BIS Denied Persons List, (c) the BIS Unverified List, (d) the OFAC Specially Designated Nationals and Blocked Persons List, or (e) any similar U.S. export-controls or sanctions list.
- End Users may not access or use the Services from any country or other territory subject to a comprehensive U.S. trade embargo or stringent U.S. sanctions, which, as of the Last Updated date above, include Belarus, Cuba, Iran, North Korea, Russia, Syria, the Crimea region of Ukraine, the Donetsk People's Republic region of Ukraine, and the Luhansk People's Republic region of Ukraine.
- End Users may not use the Services for any end-use prohibited by Part 744 of the Export Administration Regulations, including (a) missiles, rocket systems, or unmanned air vehicles, (b) chemical or biological weapons, (c) sensitive nuclear end-uses, (d) military or military-intelligence end-uses or by military or military-intelligence end-users, or (e) advanced semiconductor or supercomputer end-uses.
Section may screen Authorized Users against U.S. restricted-party lists and may suspend or terminate access where required to comply with US Export Laws. Section will notify Customer's administrator following any such suspension or termination.
11. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Section disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions, our warranties are limited to the minimum extent required by applicable law.
12. Section's liability
Section's liability to End Users arising out of or relating to use of the Services is governed by the MSA between Section and Customer. These Platform Terms of Use do not create a direct contractual relationship between Section and any End User and do not expand Section's liability beyond what is provided in the MSA. To the maximum extent permitted by applicable law, Section disclaims all liability for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill arising out of any End User's use of the Services.
13. Updates
Section may update these Platform Terms of Use from time to time. Material changes will be reflected in the Version and Last Updated date above and, where appropriate, communicated to Customer administrators.
14. Interpretation
These Platform Terms of Use are interpreted under the laws of the State of Delaware. Contractual disputes between Section and Customer are governed by the MSA.
