Website Terms of Use
Capitalized terms not defined here have the meaning given in Section Definitions.
These Website Terms of Use govern your use of sectionai.com and any sub-domain operated by Section, Inc. ("Section", "we", "us", "our") for marketing purposes (the "Site"). The Site is separate from Section's products. Use of Section Coach and SectionHQ is governed by the Platform Terms of Use and, for Customers, the executed Master Services Agreement.
1. Acceptance
By accessing or using the Site, you agree to these Website Terms of Use. If you do not agree, do not use the Site.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Website Terms of Use, whether on behalf of yourself or the employer or other entity you represent. By using the Site, you represent that you meet these requirements.
3. Permitted use
You may view, share, and reference Site content for your own personal or internal business purposes. You may not use the Site for any purpose that is unlawful or prohibited by these Website Terms of Use.
4. Restrictions
Without our prior written consent, you may not:
- scrape, harvest, or otherwise extract Site content by automated means, or use any robot, spider, or other automated device to access the Site;
- perform any unauthorized security testing, vulnerability scanning, or penetration testing against the Site;
- use Site content, including blog posts, case studies, white papers, product imagery, and other text, audio, or visual works, to train, fine-tune, evaluate, or benchmark an artificial-intelligence model or system;
- frame, mirror, or republish Site content as your own or in a manner that could imply endorsement by Section that has not been given;
- reverse engineer or decompile any software made available through the Site; or
- interfere with or disrupt the integrity or performance of the Site.
5. Intellectual property
Section and its licensors retain all right, title, and interest in and to the Site, its trademarks and trade dress, the underlying software, and all text, graphics, photographs, video, audio, and other content made available through the Site. No rights are granted to you other than the limited right to use the Site in accordance with these Website Terms of Use.
6. Third-party links
The Site may contain links to third-party websites, services, or resources that are not controlled by Section. Section does not endorse, and is not responsible for, the content, products, services, or privacy practices of any third-party website. Your use of any third-party website is at your own risk and subject to its terms.
7. User submissions
When you submit information through a Site form (such as a contact form, a demo request, or a gated-content download form), Section processes that information as described in the Privacy Policy. To the extent you submit any other content to the Site, you grant Section a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use that content for the purposes described in the Privacy Policy and to operate the Site.
8. Disclaimers
The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Section disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Section does not warrant that the Site will be uninterrupted, accurate, complete, current, or free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions, our warranties are limited to the minimum extent required by applicable law.
9. Limitation of liability
To the maximum extent permitted by applicable law, Section's aggregate liability arising out of or in connection with the Site or these Website Terms of Use will not exceed one hundred United States dollars ($100). In no event will Section be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Some jurisdictions do not allow the limitation of liability for certain types of damages; in those jurisdictions, our liability is limited to the minimum extent required by applicable law. Nothing in this section limits any liability that cannot be limited under applicable law.
10. Indemnification
You will defend, indemnify, and hold harmless Section and its officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Website Terms of Use; (b) your violation of applicable law; or (c) your infringement of any third party's rights through your use of the Site.
11. Compliance with Laws
You will comply with all laws and regulations applicable to your use of the Site, except to the extent inconsistent with U.S. antiboycott laws (the U.S. Export Administration Regulations, 15 CFR Part 760, and U.S. Internal Revenue Code Section 999).
12. Export Controls and Sanctions
The Site and the Services are subject to U.S. export controls and sanctions laws and regulations ("US Export Laws"), including the Export Administration Regulations (15 CFR Parts 730 to 774) administered by the U.S. Department of Commerce Bureau of Industry and Security ("BIS") and the sanctions regulations (31 CFR Parts 500 to 599) administered by the U.S. Department of the Treasury Office of Foreign Assets Control ("OFAC"). You will comply with US Export Laws in your access to and use of the Site, and will ensure that no access, download, or transfer of any underlying information occurs in violation of US Export Laws.
You represent and warrant that:
- you are not, and you are not acting on behalf of, a person designated on, owned or controlled by a person designated on, or otherwise restricted under, (a) the BIS Entity List, (b) the BIS Denied Persons List, (c) the BIS Unverified List, (d) the OFAC Specially Designated Nationals and Blocked Persons List, or (e) any similar U.S. export-controls or sanctions list;
- you are not located in, ordinarily resident in, or under the control of any country or other territory subject to a comprehensive U.S. trade embargo or stringent U.S. sanctions, which, as of the Last Updated date above, include Belarus, Cuba, Iran, North Korea, Russia, Syria, the Crimea region of Ukraine, the Donetsk People's Republic region of Ukraine, and the Luhansk People's Republic region of Ukraine;
- you will not use the Site for any end-use prohibited by Part 744 of the Export Administration Regulations, including (a) missiles, rocket systems, or unmanned air vehicles, (b) chemical or biological weapons, (c) sensitive nuclear end-uses, (d) military or military-intelligence end-uses or by military or military-intelligence end-users, or (e) advanced semiconductor or supercomputer end-uses; and
- you will not upload to the Site any content that is classified more stringently than EAR99 under US Export Laws.
Section may screen visitors and form submissions against US restricted-party lists and may refuse, condition, or terminate access where required to comply with US Export Laws.
13. Geography
We are based in the United States. We make no claims that the Site or any of its content is accessible or appropriate outside of the United States. Access to the Site may not be legal by certain persons or in certain countries. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
14. Force Majeure
We will not be liable for any failure to comply with these Website Terms of Use to the extent that the failure arises from a factor outside our reasonable control, including a change in US Export Laws or other applicable law, a regulatory action, an act of a government authority, an act of God, war, civil disturbance, labor dispute, fire, flood, power failure, network or telecommunications failure, or denial-of-service or other malicious attack.
15. Changes
Section may update these Website Terms of Use from time to time. Material changes will be reflected in the Version and Last Updated date above. Your continued use of the Site after a change takes effect is your acceptance of the updated terms.
16. Governing law
These Website Terms of Use are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive forum for any dispute arising out of or relating to these Website Terms of Use is the state and federal courts located in Delaware.
